Terms & Conditions

By accessing or using our services, you agree to comply with the terms and conditions outlined below. These terms governs your use of the service, including any content, features, and functionalities provided. Please read them carefully before proceeding.

1.Service Agreement

1.1 Scope of Services
By agreeing with Orbit Familia Studios Ltd, the client agrees to the provision of drone services as outlined in the confirmed booking or quotation. Services may include, but are not limited to:

  • Aerial photography and videography

  • Aerial surveys or inspections

  • Real estate footage

  • Event coverage

  • Mapping or promotional media

The exact scope of work, deliverables, timeline, and costs will be detailed in the client’s project proposal or service quote.

1.2 Acceptance of Terms
By confirming a booking or making a payment, the client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions, including all relevant policies (e.g., cancellation, weather, and refund policies).

1.3 Third-Party Permissions & Access
The client is responsible for obtaining all required permissions and access to the location(s) where drone operations are to take place. This may include:

  • Landowner or site access permissions

  • Local council or venue approval

  • Permission for commercial drone operations in restricted areas (as necessary)

Failure to secure the appropriate permissions may result in service delays or cancellation, with applicable fees still due.

1.4 Compliance with Laws & Regulations
All services will be delivered under UK law, including CAA (Civil Aviation Authority) regulations. Orbit Familia Studios Ltd reserves the right to modify or limit the scope of services if necessary to ensure compliance and safe operations.

1.5 Limitations of Service
Drone services are subject to environmental, technical, and legal limitations. Orbit Familia Studios Ltd will advise the client of any foreseeable restrictions or adjustments before or during service delivery. These may include:

  • No-fly zones or airspace restrictions

  • Weather-related limitations

  • Safety hazards or unsuitable terrain

1.6 Service Completion & Delivery
Upon completion of the drone operation, footage or deliverables will be reviewed, edited (if applicable), and delivered according to the agreed timeline and format. Delays caused by client-side feedback, access issues, or revision requests may alter delivery dates.

1.7 Amendments to Agreement
Any amendments to the agreed scope of service must be made in writing and agreed upon by both parties. Additional fees may apply for significant changes in requirements, locations, or timelines.

2.Booking Confirmation

2.1 Confirmation of Services
A booking is considered confirmed only once Orbit Familia Studios Ltd has received:

  • A signed agreement or written acceptance of the proposal or quote,

  • Any required deposit or full payment, and

  • All necessary project details, including location, time, and specific requirements.

2.2 Provisional Bookings
Dates requested without payment or written confirmation will be treated as provisional and will not be secured. Orbit Familia Studios Ltd reserves the right to offer provisional dates to other clients until confirmation is received.

2.3 Deposit Requirements
A 30% non-refundable deposit is required to confirm all bookings, unless otherwise agreed in writing. The deposit amount will be clearly stated in your quote or invoice. This deposit secures the scheduled date and is deducted from the final invoice.

2.4 Client Responsibility
It is the client's responsibility to ensure that all information provided at the time of booking is accurate and complete, including:

  • Correct location details,

  • Access arrangements or permissions,

  • Contact information for site representatives.

Failure to provide accurate details may lead to delays, additional charges, or cancellation of the service.

2.5 Amendments Post-Booking
Any changes to the agreed-upon booking after confirmation (such as location, time, or scope) must be requested in writing and may be subject to additional charges, depending on the nature and timing of the changes (see Section 8 – Rescheduling).

2.6 Final Confirmation Notice
Clients will receive a final confirmation email before the scheduled date, which will include key service details and any outstanding requirements. It is the client's responsibility to review and acknowledge this confirmation.

2.1 Payment Terms

2.1.1 Deposit and Payment Schedule
A non-refundable deposit of 30% of the total service fee is required to secure your booking. This deposit confirms your appointment and will be deducted from the final balance.
The remaining balance of 70% is due upon completion of the service and before the delivery of any final footage, images, or data unless otherwise agreed in writing.

2.1.2 Accepted Payment Methods
Orbit Familia Studios Ltd accepts the following forms of payment:

  • Bank transfer (preferred method)

  • Debit/Credit Card (if available)

  • Other methods by prior agreement

All payment instructions will be provided via invoice upon confirmation of the booking.

2.1.3 Late Payment Policy
Invoices are due within 3 to 5 days of issue unless otherwise specified. In the event of late payment:

  • A late fee of £25 may be applied.

  • Interest may be charged for each day the invoice remains unpaid after the due date.

  • Orbit Familia Studios Ltd reserves the right to withhold delivery of final footage or any deliverables until full payment is received.

2.1.4 Failure to Pay
If payment is not received within a reasonable period after the due date, Orbit Familia Studios Ltd
  reserves the right to:

  • Engage debt recovery procedures.

  • Seek legal recourse for the collection of the outstanding balance.

  • Refuse future bookings until the balance is cleared.

2.1.5 Commercial Clients
For commercial clients or bulk service agreements, customised payment terms (e.g., monthly billing, staged payments) may be arranged subject to agreement and credit approval.

3.Customer Cancellation Policy

3.1 Cancellation Notice Period
Clients may cancel a scheduled drone service by providing written notice via email or other agreed-upon communication methods. The following cancellation terms apply based on the notice period given:

  • 72 hours or more before the scheduled time: Full refund of any payments made, excluding non-refundable deposits (if applicable).

  • 48–72 hours before the scheduled time: 50% of the total booking fee will be refunded.

  • Less than 24 hours before the scheduled time: No refund will be issued, and the full booking fee will remain payable.

3.2 Non-Refundable Deposits
All deposits paid to secure a booking are non-refundable, unless the cancellation is made more than 7 days in advance or the cancellation is due to a fault or issue on the part of Orbit Familia Studios Ltd.

3.3 Same-Day Cancellations / No Shows
If a client cancels on the day of the scheduled service, or fails to appear or provide access at the agreed location and time:

  • The booking will be treated as a no-show, and no refund will be given.

  • The full booking fee will remain due.

  • A £100 call-out fee may also be charged to cover travel and time costs.

3.4 Rescheduling Instead of Cancelling
Clients may choose to reschedule their booking instead of cancelling (see Section 8 – Rescheduling Policy). If rescheduling with more than 48 hours’ notice, no cancellation fee will apply.
If rescheduling within 48 hours, a £25 rescheduling fee may be charged.

3.5 Refund Method & Processing Time
Any approved refund due to cancellation will be processed via the original payment method within 3–5 working days from the date of approval.

3.6 Force Majeure
If the client needs to cancel due to unforeseen events beyond their control (e.g., medical emergency, bereavement, or natural disaster), Orbit Famila Studios Ltd will review the situation on a case-by-case basis. Supporting documentation may be required for consideration of a refund or fee waiver.

4.Refund Policy 

4.1 Eligibility for Refunds
Refunds may be issued under the following circumstances:

  • The booking is cancelled by Orbit Familia Studios Ltd due to unforeseen circumstances (see Section 5).

  • The client cancels the service at least 72 hours before the scheduled time.

  • A technical fault or operator error prevents the successful completion of the agreed service, and no usable footage or deliverables can be provided.

4.2 Non-Refundable Situations
No refund will be issued if:

  • The client cancels the booking with less than 24 hours' notice (see Section 8 – Rescheduling).

  • The drone flight cannot be completed due to a lack of access, incorrect information, or safety concerns caused by the client.

  • The flight is partially completed, and some footage or data has been captured and delivered.

  • The client is unhappy with aesthetic preferences (e.g. lighting, weather, or composition), but the work met the brief and was executed professionally and safely.

4.3 Deposits
All deposits are non-refundable unless the cancellation is made by Orbit Familia Studios Ltd or a minimum of 72 hours’ notice is given by the client.

4.4 Partial Refunds
In the event of early termination or partial delivery due to weather or safety issues:

  • A pro-rated refund may be issued based on the amount of work completed.

  • If the service is rescheduled and completed later, no refund will apply.

4.5 Refund Process
Approved refunds will be processed within 3–5 working days via the original payment method, unless otherwise agreed.

4.6 Disputes
Any refund disputes must be submitted in writing within 14 days of the scheduled service date. Orbit Familia Studios will review the request and respond within a reasonable timeframe.

5.Company Cancellation Policy

5.1 Right to Cancel
Orbit Familia Studios Ltd reserves the right to cancel any scheduled drone service at any time due to unforeseen circumstances, including but not limited to:

  • Adverse weather conditions (see Section 6)

  • Technical issues or equipment failure

  • Health or availability of licensed operators

  • Safety or legal concerns

  • Site access issues or lack of required permissions

5.2 Notice of Cancellation
If Orbit Familia Studios Ltd must cancel a booking, we will provide the client with as much notice as possible. In such cases:

  • No cancellation fee will apply

  • Any deposit or prepayment will be refunded in full or credited toward a rescheduled date, as preferred by the client

5.3 Rescheduling instead of Cancellation
Where possible, Orbit Familia Studios Ltd will offer to reschedule the service as an alternative to cancellation, subject to client approval and availability.

5.4 Partial Cancellations or Early Termination
If a service must be partially cancelled or terminated early due to circumstances beyond our control (e.g., sudden weather changes, access restrictions on site), we will:

  • Deliver all usable footage captured before the cancellation

  • Pro-rate any charges, where appropriate

  • Offer to complete the remainder of the service at a later date, where feasible

5.5 No Liability for Client Loss
While every effort is made to avoid cancellation, Orbit Familia Studios Ltd shall not be held liable for any indirect or consequential loss (e.g. loss of income, reputational damage, or missed deadlines) resulting from a cancellation initiated by the company.

5.1 Cancellation & Refund Process for Commercial Clients

5.1.1 General Cancellation Policy
For commercial clients, including large-scale projects and bulk bookings, the following cancellation policy applies in addition to our standard cancellation terms:

  • Cancellations made more than 14 days before the scheduled service date will receive a full refund.

  • Cancellations made between 7 to 14 days before the service date will incur a 50% cancellation fee based on the total project cost.

  • Cancellations made less than 7 days before the scheduled service date will result in a 100% cancellation fee, meaning no refund will be issued.

5.1.2 Late Cancellations Due to External Factors
If a commercial client needs to cancel or reschedule due to unforeseen circumstances such as extreme weather conditions, airspace restrictions, or other factors beyond their control, we may offer a rescheduling option at no additional cost, subject to availability. However, if the client wishes to cancel instead of rescheduling, the following will apply:

  • Rescheduled services are subject to availability, and the original cancellation fees may still apply if rescheduling is not possible.

  • If no reschedule is feasible, the cancellation will be treated as a full cancellation, and any applicable cancellation fees will apply.

5.1.3 Bulk Bookings & Large-Scale Projects
For bulk bookings or large-scale projects, a deposit may be required to secure the booking. The deposit amount will be specified in the project agreement or quote. The following cancellation and refund terms apply to bulk bookings:

  • Cancellations of bulk bookings or large-scale projects must be made in writing and are subject to the same timelines as outlined above.

  • A non-refundable deposit (typically 20-30% of the total project cost) will be retained in the event of cancellation.

  • If the client requests cancellation after the commencement of services (e.g., partial work completed or drone flights have begun), the client will be charged for the work completed up to that point.

5.1.4 Refund Process
Refunds will be issued via the same method of payment as the original transaction. All refunds will be processed within 14 business days of the cancellation notice. If a refund is due, it will be based on the applicable cancellation policy:

  • For services cancelled with a full refund (more than 14 days in advance), the refund will be issued in full.

  • For services cancelled with a 50% cancellation fee (7-14 days prior), 50% of the total amount will be refunded.

  • For services cancelled with a 100% cancellation fee (less than 7 days), no refund will be issued.

5.1.5 No Refunds for Completed Work
Once services have been delivered or completed following the project scope (e.g., drone flights, footage capture, or post-production services), no refunds will be issued for the work completed. This applies even if the client later cancels or does not use the final deliverables.

5.1.6 Amendments to the Cancellation Policy
Orbit Familia Studios Ltd reserves the right to amend the terms of this Cancellation & Refund Policy for commercial clients based on specific project requirements, timing, and circumstances. Any changes will be communicated in writing to the client and must be agreed upon before work proceeds.

5.1.7 Disputes Regarding Cancellations and Refunds
In the event of a dispute regarding cancellations or refunds, the client agrees to communicate directly with Orbit Familia Studios Ltd to resolve the issue. If necessary, disputes may be resolved through mediation or arbitration, under the laws of the UK.

6.Weather Policy

6.1 Flight Safety and Weather Dependency
Drone operations are highly dependent on weather conditions for safety and regulatory compliance. Flights cannot be conducted during high winds, heavy rain, snow, fog, or poor visibility. Final decisions regarding the suitability of weather for flight will be made by Orbit Familia Studios Ltd's certified drone operator in line with CAA (Civil Aviation Authority) guidelines.

6.2 Weather-Related Postponements
If weather conditions are deemed unsuitable on the day of the scheduled service:

  • The client will be notified as soon as possible.

  • The service will be rescheduled at no additional cost.

  • A mutually convenient alternative date will be arranged, subject to availability.

6.3 Client-Initiated Cancellations Due to Weather Forecasts
If a client chooses to cancel or reschedule a booking based on a weather forecast (rather than confirmed unsafe conditions on the day), standard rescheduling policies and fees (see Section 14) may apply, unless otherwise agreed.

6.4 On-Site Weather Delays
If adverse weather occurs after arriving on-site:

  • Orbit Familia Studios Ltd will wait up to 30 minutes for conditions to improve, where possible.

  • If the weather does not improve within that time, the session may be rescheduled, with no additional charge for the original visit.

  • However, a £25 call-out fee may apply if the site is deemed unflyable upon arrival and the client did not notify us in advance.

6.5 No Guarantee of Conditions
While we monitor forecasts closely, Orbit Familia Studios cannot guarantee perfect conditions for lighting or aesthetic purposes. If the weather is safe but not visually ideal (e.g., overcast skies), and the client wishes to reschedule for creative reasons, rescheduling fees may apply.

6.6 Client Cooperation
Clients are encouraged to communicate with Orbit Familia Studios Ltd regarding weather concerns at least 24 hours in advance, where possible, especially for time-sensitive or event-based projects.

6.1 Drone Flight Restrictions Disclaimer

6.1.1 Regulatory Compliance
All drone operations conducted by Orbit Familia Studios Ltd are strictly carried out under the regulations and guidelines set by the UK Civil Aviation Authority (CAA), including but not limited to those outlined in the UK Air Navigation Order and the Drone and Model Aircraft Code.

6.1.2 Flight Limitations
Due to aviation safety regulations and airspace restrictions, drone flights may be limited or prohibited in certain areas, including:

  • Within proximity to airports, heliports, and aerodromes (Flight Restriction Zones),

  • Over-congested areas or large gatherings of people,

  • Near critical infrastructure or government buildings,

  • In restricted, military, or no-fly zones.

6.1.3 Site Feasibility Assessment
Before confirming any service, Orbit Familia Studios Ltd will assess the feasibility of the requested flight location through pre-flight checks, risk assessments, and airspace data. If it is determined that the flight cannot proceed legally or safely, the client will be informed promptly, and alternative arrangements may be suggested if possible.

6.1.4 Client Responsibility
The client is responsible for:

  • Providing accurate location details during the booking process,

  • Securing any necessary permissions or access rights for private land or restricted areas, and

  • Understanding that some requested shots or angles may not be possible due to legal restrictions.

6.1.5 Right to Cancel or Modify Flight Plans
Orbit Familia Studios Ltd reserves the right to refuse, cancel, or alter any drone flight that may breach CAA regulations or present an unreasonable safety risk. This includes last-minute changes due to newly issued NOTAMs (Notices to Airmen), temporary flight restrictions, or on-site hazards.

6.1.6 No Guarantee of Specific Shots
While every effort will be made to capture the requested footage, compliance with flight restrictions and safety protocols may prevent certain shots from being taken. Orbit Familia Studios Ltd. cannot be held liable for the inability to capture footage that is restricted under UK aviation laws.

6.2 Client Cooperation Clause

6.2.1 Provision of Accurate Information
The client agrees to provide complete, accurate, and timely information regarding the service location, access details, required deliverables, and any relevant circumstances that may impact the drone operation. This includes:

  • Exact address and GPS coordinates of the site,

  • Site-specific restrictions or known hazards,

  • Necessary permits, permissions, or access arrangements for private property or restricted areas,

  • Specific filming or photography requirements.

6.2.2 Access to Site
It is the client’s responsibility to ensure that Orbit Familia Studios Ltd and its team have adequate and lawful access to the site at the agreed time. This includes:

  • Entry to buildings, gated areas, or secured zones,

  • Parking or staging areas for drone setup,

  • On-site contact details or escorts if required for access.

6.2.3 On-Site Cooperation
Clients are expected to assist in facilitating smooth and safe drone operations, which may include:

  • Clearing the area of unnecessary personnel, vehicles, or equipment,

  • Cooperating with safety procedures and risk assessments,

  • Providing any required support on-site, such as spotters or guides if applicable.

6.2.4 Consequences of Non-Cooperation
Failure to provide accurate information, site access, or necessary cooperation may result in:

  • Delays in service delivery,

  • Additional costs for rescheduling, travel, or setup,

  • Cancellation of the service, in which case standard cancellation fees may apply.

6.2.5 Right to Withhold Deliverables
Orbit Familia Studios Ltd reserves the right to withhold final deliverables if client cooperation obligations are not met, particularly where safety or legal compliance is compromised.

7.Late Arrival Policy

7.1 Client Late Arrival
Clients are expected to ensure timely access to the site or location where the drone service is scheduled to take place. If the client, key personnel, or necessary access is delayed by more than 15 minutes beyond the agreed start time:

  • Orbit Familia Studios Ltd reserves the right to reduce the allocated service time accordingly to avoid disruption to other scheduled bookings.

  • If the delay exceeds 30 minutes, an additional £50 waiting fee may be charged for each subsequent 30-minute interval.

  • If the delay exceeds 1 hour and the service cannot reasonably proceed, the booking may be treated as a late cancellation, and the client may forfeit any deposit or be subject to a £100 cancellation fee.

7.2 Site Access & Readiness
The client is responsible for ensuring that the location is ready for drone operations at the scheduled time. This includes:

  • Securing access permissions

  • Informing relevant parties (e.g., site staff or security)

  • Clearing any obstacles or safety hazards that may delay flight operations

7.3 Orbit Familia Studios Ltd Late Arrival
In the unlikely event that Orbit Familia Studios Ltd arrives late due to unforeseen circumstances (e.g., traffic, previous job overrun, technical issues), we will notify the client as soon as possible.

  • Any lost time will be added to the end of the session, or an alternative arrangement will be made at no extra charge.

7.4 Grace Periods
A 15-minute grace period is allowed for unforeseen minor delays. After this period, the above terms will apply.

7.1 Third-Party Licences / Permissions

7.1.1 Client Responsibility
It is the sole responsibility of the client to obtain all necessary third-party permissions, licences, or consents required for drone operations at the intended location. This includes, but is not limited to:

  • Permission from landowners for take-off, landing, or flying over private property,

  • Consent from property managers, local authorities, or event organisers for operations in public or controlled spaces,

  • Crowd clearance, if filming is to take place in areas with large numbers of people,

  • Permits for specific locations such as parks, historical sites, or protected areas.

7.1.2 Proof of Permission
Clients may be required to provide written evidence that all relevant permissions have been secured before the scheduled drone operation. Failure to do so may result in cancellation or rescheduling of the service, subject to applicable fees.

7.1.3 Legal Liability
Orbit Familia Studios Ltd shall not be held responsible or liable for any claims, fines, or legal action arising from drone flights carried out without the required permissions due to the client’s failure to secure them. The client agrees to indemnify and hold Orbit Familia Studios Ltd harmless against any such outcomes.

7.1.4 Right to Refuse Service
Orbit Familia Studios Ltd reserves the right to refuse or postpone any drone operation if it is discovered that proper permissions have not been granted or are in question. This includes last-minute revocation of access or complaints from landowners or the public.

8.Reschedulling

8.1 Client-Initiated Rescheduling
Clients may request to reschedule a booked service by providing at least 48 hours’ notice before the scheduled flight time. We will make every effort to accommodate the new requested date and time, subject to availability.

  • No charge will apply for rescheduling with 48+ hours’ notice.

  • Requests made with less than 48 hours’ notice may incur a £25 rescheduling fee to cover administrative and logistical costs.

  • If rescheduling is requested within 24 hours of the scheduled time, a £50 fee may apply, and the booking may be considered a late cancellation, depending on circumstances.

8.2 Weather or Safety Conditions
Drone flights are highly dependent on weather and environmental factors. Orbit Familia Studios Ltd reserves the right to reschedule services at short notice if conditions such as high winds, heavy rain, or poor visibility make it unsafe or non-compliant with CAA regulations.

  • No rescheduling fees will apply in these cases.

  • A new date will be offered as soon as reasonably possible, depending on weather and availability.

8.3 Operational or Technical Issues
In the rare event of unforeseen technical issues, equipment failure, or pilot unavailability, Orbit Familia Studios Ltd
 may reschedule the service.

  • Clients will be informed promptly, and no fees will be charged for rescheduling under these circumstances.

8.4 Force Majeure
If services are delayed or disrupted due to events beyond our control (e.g., severe weather warnings, restricted airspace, national emergencies), Orbit Familia Studios Ltd
 will reschedule at no extra cost.

  • In such events, we are not liable for any consequential losses or client inconvenience.

8.5 Repeated Rescheduling by Client
If a client requests to reschedule a booking more than twice, an additional £50 admin fee per reschedule may apply.

  • If frequent rescheduling causes significant disruption to scheduling, Orbit Familia Studios Ltd reserves the right to cancel the booking with a partial refund (minus any applicable fees or unrecoverable costs).

9.Special Request or Custom 

9.1 Bespoke Services
Orbit Familia Studios Ltd offers custom drone services tailored to the specific needs of individual clients, including but not limited to bespoke flight paths, creative direction, unique editing styles, or advanced technical operations (e.g. 3D mapping, thermal imaging, night flights). All custom service requests must be communicated and agreed upon in writing before the commencement of work.

9.2 Quotations and Pricing
Custom services may be subject to separate pricing and longer lead times. Any quote provided for bespoke work is valid for 14 days unless otherwise specified. Final pricing may vary if the scope of work changes after the agreement, in which case a revised quote will be issued for approval.

9.3 Feasibility and Compliance
All custom or special requests are subject to feasibility, safety, and compliance with current CAA (Civil Aviation Authority) regulations. Orbit Familia Studios Ltd reserves the right to decline any request that poses a legal or safety risk or that cannot be delivered within regulatory boundaries.

9.4 Advance Notice and Scheduling
Custom services may require additional planning, permissions (e.g., flight in restricted airspace), or specialised equipment. Clients are advised to provide as much advance notice as possible to ensure successful delivery.

9.5 Additional Costs
Special requests may incur extra charges for travel, permit applications, additional crew, or post-production work. These costs will be itemised in the quote and must be accepted in writing before work begins.

9.6 Client Responsibilities
The client is responsible for providing any required information, access, or third-party permissions necessary to fulfill the custom request. Delays caused by missing or incomplete client-provided details may affect delivery timelines and could result in additional charges.

10.Compliance with Laws

10.1 Regulatory Compliance
Orbit Familia Studios Ltd fully complies with the laws and regulations set forth by the UK Civil Aviation Authority (CAA). All drone operations are conducted by certified pilots with a valid General Visual Line of Sight Certificate (GVC) or A2 Certificate of Competency (A2 CofC), where applicable.

10.2 Flight Permissions and Airspace Restrictions
All flights are subject to airspace permissions and may require prior authorization depending on the location. Orbit Familia Studios Ltd ensures all necessary permissions are obtained before undertaking any commercial operation. Flights may be delayed or cancelled due to weather conditions, airspace restrictions, or regulatory changes.

10.3 Insurance
We maintain active Public Liability Insurance that meets or exceeds the requirements outlined by UK law for commercial drone operations. Proof of insurance can be provided upon request.

10.4 Data Protection and Privacy
All footage and data collected during drone operations are handled by the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We do not capture or distribute identifiable personal data without explicit consent, unless required by law.

10.5 Client Responsibilities
Clients are responsible for ensuring that drone operations requested do not infringe on the rights of third parties, including privacy or property rights. The client must inform us of any sensitive areas or restrictions applicable to the requested flight location.

10.6 Health and Safety
All drone operations are subject to on-site risk assessments and safety checks. We reserve the right to refuse or halt any flight if the pilot deems the conditions unsafe or in violation of legal requirements.

10.7 Changes in Regulation
Should any changes in UK drone laws or CAA regulations affect scheduled services, Orbit Familia Studios Ltd reserves the right to postpone or cancel affected operations without liability, beyond refunding any advance payment.

11.Intellectual Property 

11.1 Ownership of Content

We grant clients a non-exclusive, non-transferable licence to use the final deliverables for the agreed purpose(s) only.

11.2 Client-Owned Content
Where the client provides specific creative direction, branding, or proprietary materials (e.g. logos, music, or pre-existing footage), the client affirms that they have the legal right to use and authorise such content. The client retains ownership of their original materials, but grants [Your Company Name] the necessary rights to use them for the delivery of the agreed services.

11.3 Restrictions on Use
Clients may not edit, resell, license, or distribute our content to third parties without our prior written consent. Any unauthorised commercial use, reproduction, or redistribution of our content may constitute a breach of copyright and will be subject to legal action.

11.4 Use by Orbit Familia Studios Ltd
We reserve the right to use any content we create for promotional purposes, including but not limited to use on our website, social media, showreels, and marketing materials—unless otherwise agreed in writing with the client.

11.5 Moral Rights
Orbit Familia Studios Ltd asserts its moral rights under the Copyright, Designs and Patents Act 1988, including the right to be identified as the author of the work, unless waived in writing by both parties.

11.6 Transfer of Rights (if applicable)
Should a client require full ownership of the intellectual property, this must be agreed in advance and confirmed in writing. An additional fee may apply, and full transfer of rights will only occur upon receipt of final payment and execution of an intellectual property assignment agreement.

11.1 Intellectual Property Rights for Custom Services

Intellectual property rights in the footage, images, data, and other deliverables created during custom drone services (e.g., video editing, mapping, or tailored drone services) remain the property of Orbit Familia Studios Ltd until full payment has been received. Upon receipt of full payment, ownership of the deliverables, including all intellectual property rights, will transfer to the client.

11.1.2 Use of Footage and Data Before Payment
Until payment is received in full, Orbit Familia Studios Ltd retains full ownership and control over the footage, images, data, and any other deliverables created. The client is granted a temporary, non-exclusive, non-transferable license to use the deliverables solely for the purpose specified in the service agreement. Any use of the deliverables for commercial purposes, publication, or distribution before full payment is received is prohibited.

11.1.3 Rights to Original Content
The client acknowledges that all raw footage, unedited files, images, and data collected during the project remain the property of Orbit Familia Studios Ltd unless otherwise agreed upon in writing. While the client may request access to raw files or unedited content, ownership rights to such content will remain with Orbit Familia Studios Ltd unless stated otherwise in the agreement.

11.1.4 License to Use Deliverables
Once full payment is received, the client will be granted a perpetual, worldwide, non-exclusive license to use, reproduce, modify, and distribute the final deliverables for the agreed-upon purpose. This license may include the right to use the deliverables for promotional, commercial, or other purposes as specified in the agreement.

11.1.5 Rights to Custom Work and Post-Production
In cases where custom work, such as video editing, data processing, or other post-production services, is performed, the client acknowledges that the edited or processed content, including any specific edits or modifications, may be considered a new work that is separate from the original footage. Unless otherwise agreed, the client may not claim ownership over the edited or processed work until full payment for the entire project has been made.

11.1.6 Third-Party Content
In instances where third-party content (e.g., licensed music, software, or stock images) is included in the deliverables, the client acknowledges that they do not acquire rights to such third-party content unless explicitly stated. The client agrees to adhere to any usage restrictions or licenses attached to such third-party content.

11.1.7 Moral Rights and Credit
Under the Copyright, Designs, and Patents Act 1988, Orbit Familia Studios Ltd retains moral rights to the footage, images, and data produced. This includes the right to be credited as the creator of the work, unless explicitly waived in writing. The client agrees to provide appropriate credit to Orbit Familia Studios Ltd. in any public use, display, or distribution of the deliverables.

11.1.8 Ownership Disputes
In the event of a dispute over ownership or use of the deliverables, the client agrees to work in good faith with Orbit Familia Studios Ltd to resolve the matter. Disputes over intellectual property will be resolved under UK intellectual property law.

12.Use of Footage on Social Media

12.1 Promotional Use by Orbit Familia Studios Ltd
Unless otherwise agreed in writing, Orbit Familia Studios Ltd reserves the right to use any drone footage, images, or related media captured during a project for promotional purposes on its digital platforms, including but not limited to Instagram, Facebook, LinkedIn, YouTube, TikTok, and the company website.

12.2 Client Consent and Confidentiality
If a client’s project involves sensitive, confidential, or private property, we will not publish any footage or images on social media without the client’s prior written consent. Clients may request that their project materials remain private, and Orbit Familia Studios Ltd will respect such requests in full.

12.3 Credit and Tagging
Where appropriate, we may tag or mention the client’s business or social media handle when sharing content. If the client prefers not to be tagged or publicly associated with the footage, they must inform us in writing at the time of booking or delivery.

12.4 Client Use on Social Media
Clients are welcome to share the final delivered footage on their social media channels, provided that they do not misleadingly alter the content and that Orbit Familia Studios Ltd is credited clearly as the creator. Where possible, we appreciate being tagged or mentioned in the post (e.g., "@YourBusinessHandle").

12.5 Third-Party Sharing
Footage shared on social media by the client may not be sublicensed, resold, or redistributed to third parties (e.g., media outlets, other businesses) without prior written consent from Orbit Familia Studios Ltd, unless full ownership rights have been formally transferred.

13.Equipment Damage

13.1 Ownership of Equipment
All drones, cameras, and related gear used during operations remain the exclusive property of Orbit Familia Studios Ltd. Under no circumstances shall clients or third parties interfere with, operate, or handle our equipment unless explicitly permitted and supervised by an authorised representative of Orbit Familia Studios Ltd.

13.2 Responsibility for Damage
If any damage to Orbit Familia Studios Ltd’s equipment occurs due to client negligence, interference, or breach of safety protocols, the client may be held liable for the cost of repair or replacement. This includes, but is not limited to, directing flights in unsafe areas, unauthorised physical interaction with equipment, or failing to disclose site hazards.

13.3 Environmental Risks
Orbit Familia Studios Ltd operates drones with the utmost caution and under safety regulations. However, should environmental conditions (e.g., extreme wind, electromagnetic interference, wildlife) unexpectedly lead to equipment damage or loss, the company shall not be held liable, unless such conditions were reasonably foreseeable and ignored.

13.4 Site Conditions and Hazards
Clients are responsible for providing accurate and complete information regarding the location of the flight, including known obstacles, restricted zones, or hazardous environments. Orbit Familia Studios Ltd reserves the right to refuse operation if the site is deemed unsafe or non-compliant with CAA regulations.

13.5 Third-Party Locations and Structures
Where drone operations are conducted near or around third-party property (e.g., buildings, vehicles, infrastructure), clients must ensure all necessary permissions are in place. Orbit Familia Studios Ltd. is not liable for any claims arising from damage caused to third-party property unless proven to be due to gross negligence.

13.6 Insurance Cover
All drone operations are covered under a comprehensive insurance policy, including public liability and equipment cover. However, claims may be voided in cases of deliberate misuse, interference, or instruction by the client that leads to avoidable damage.

14.Amendments

14.1 Changes to Terms
Orbit Familia Studios Ltd reserves the right to update, modify, or amend these Terms and Conditions at any time. Clients will be notified of any significant changes prior to their scheduled service, where reasonably practicable. The most current version will always be available on our official website.

14.2 Notification of Material Changes

15.Insurance & Damage Coverage

15.1 Public Liability Insurance

15.2 Equipment Insurance
All drones and associated equipment used during operations are insured against accidental damage, theft, and loss under Orbit Familia Studios Ltd’s equipment insurance policy. This does not extend to damage caused by client interference, negligence, or unauthorised use (see section 10).

15.3 Limitations of Insurance Cover
Our insurance policies are subject to specific terms, conditions, and exclusions set by the provider. Clients are advised that coverage does not include damage to third-party property or persons arising from instructions given to Orbit Familia Studios Ltd that violate CAA regulations or compromise flight safety.

15.4 Client Liability
In the event of damage caused by client action or inaction (e.g,. requesting unsafe flight paths, failure to disclose hazards, or physical interference), the client may be held liable for costs not covered by insurance, including equipment repair/replacement, downtime, or excess charges.

15.5 Uninsured Locations or Activities
If a requested service involves high-risk environments or locations not typically covered under standard drone insurance policies (e.g., flying over water, near airports, or night operations), Orbit Familia Studios Ltd. will notify the client in advance and may require additional insurance arrangements or written acceptance of risk.

15.6 Claims and Investigations
Should an incident occur during a flight, Orbit Familia Studios Ltd will carry out an internal investigation and liaise with the relevant insurers. Clients agree to cooperate fully in any investigation or claim process, providing accurate information as needed.

18.7 Indemnity
The client agrees to indemnify and hold harmless Orbit Familia Studios Ltd, its employees, contractors, agents, and subcontractors from all claims, losses, damages, costs, or expenses (including legal fees) arising out of or in connection with:

  • The client’s breach of this agreement

  • Any failure by the client to secure necessary permissions or access for the drone operation

  • Any claims brought by third parties related to the drone services, unless caused by our negligence or willful misconduct

19.Use of Subcontractors

19.1 Outsourcing of Services
Orbit Familia Studios Ltd may engage subcontractors or third-party service providers to assist in delivering certain aspects of our services, including but not limited to additional drone operators, post-production work, or specialized tasks. These subcontractors may be utilized in cases where their expertise or resources are required to fulfill the client’s project needs.

19.2 Subcontractor Responsibilities
When subcontractors are engaged, Orbit Familia Studios Ltd ensures that they are bound by the same standards, terms, and conditions as our employees. Subcontractors will be required to adhere to all relevant provisions of these Terms and Conditions, including those relating to safety, confidentiality, intellectual property, and service delivery.

19.3 Liability for Subcontracted Work
Orbit Familia Studios Ltd remains fully responsible for the quality of the services provided, even if subcontractors are involved in the execution of the work. Any actions or omissions by subcontractors will be treated as though they were conducted by Orbit Familia Studios Ltd, and we will ensure that the work meets the same high standards as if it were carried out by our team.

19.4 Confidentiality and Data Protection

20. Health and Safety Compliance

20.1 Compliance with Laws and Regulations
Orbit Familia Studios Ltd fully complies with all applicable UK health and safety laws and aviation regulations, including guidelines set out by the Civil Aviation Authority (CAA). All drone operations are conducted with the highest regard for the safety of people, property, and airspace.

20.2 Client Responsibilities
The client is responsible for ensuring that the location where drone operations are to take place is safe, accessible, and legally permissible for aerial activity. This includes:

  • Securing any necessary permissions or access rights for private property or restricted areas.

  • Notifying nearby residents or businesses, if required.

  • Ensuring that the site is free from hazards such as overhead wires, unstable structures, or other obstructions.

  • Confirming that no activities (e.g., events, construction) at the site will pose a risk to flight operations or individuals involved.

20.3 On-Site Safety Conditions
If, upon arrival, the drone operator deems the site unsafe for any reason (e.g., crowded areas, hazardous materials, unexpected environmental risks), Orbit Familia Studios Ltd reserves the right to delay, modify, or cancel the operation. The decision of the drone operator on matters of safety shall be final.

20.4 Working Around People and Structures
When operating around people, vehicles, or buildings, all drone activities will comply with CAA flight restrictions, including minimum separation distances and the requirement for risk assessments. The client agrees to cooperate with any safety protocols recommended by the drone operator, including temporarily clearing areas of bystanders or halting other activities.

20.5 Client Indemnity for Unsafe Conditions
The client agrees to indemnify and hold harmless Orbit Familia Studios Ltd. against any claims, losses, or damages arising from unsafe or non-compliant conditions at the flight location that were not disclosed in advance. This includes injuries to third parties or damage to property caused by hazards that could have been prevented or communicated by the client.

20.6 Weather and Environmental Conditions
Drone operations are subject to weather and environmental conditions. Operations will not proceed during unsafe conditions such as high winds, heavy rain, low visibility, or electromagnetic interference. Safety assessments will be conducted on-site, and Orbit Familia Studios Ltd reserves the right to cancel or reschedule the service based on these findings without liability.

20.7 Emergency Procedures
All drone operators are trained to follow emergency procedures in case of equipment failure, unexpected obstacles, or sudden changes in environmental conditions. Clients are expected to cooperate in any such situation to ensure the safety of all individuals and property involved.

21. Force Majeure

21.1 Definition
Neither Orbit Familia Studios Ltd nor the client shall be held liable for any delay, failure, or disruption in the performance of their respective obligations under this agreement due to events beyond their reasonable control (a “Force Majeure Event”). Force Majeure Events may include, but are not limited to:

  • Severe weather conditions (e.g., high winds, heavy rain, fog, or storms),

  • Natural disasters (e.g., floods, earthquakes, or wildfires),

  • Governmental actions or restrictions,

  • Civil unrest, strikes, protests, or acts of terrorism,

  • Airspace restrictions or aviation authority orders,

  • Equipment failure due to uncontrollable external factors,

  • Power outages or communication breakdowns, and

  • Any other event which could not be reasonably anticipated or prevented.

21.2 Effect of Force Majeure
If a Force Majeure Event occurs, the affected party shall notify the other party as soon as reasonably possible, detailing the nature and expected duration of the disruption. During the Force Majeure Event:

  • Both parties shall be released from their obligations to the extent they are affected by the event.

  • Orbit Familia Studios Ltd. may suspend or reschedule the affected drone services without penalty.

  • If the event continues for a prolonged period (typically more than 30 days), either party may terminate the agreement without liability, except for services already rendered or expenses already incurred.

21.3 Rescheduling and Alternative Arrangements
Where possible, Orbit Familia Studios Ltd will work with the client to reschedule services at a mutually convenient time once the Force Majeure Event has passed. Any rescheduling due to Force Majeure will be prioritised based on project urgency, availability, and safety conditions. Additional costs may be incurred if there are significant changes to the original service scope or location.

21.4 Non-Refundable Expenses
Orbit Familia Studios Ltd. is not liable for any loss of revenue, loss of opportunity, reputational damage, or other indirect or consequential losses resulting from a Force Majeure Event. Any non-refundable travel, permit, or third-party costs incurred before the event may still be chargeable.

21.5 Mitigation
Both parties agree to take all reasonable steps to mitigate the impact of any Force Majeure Event and to resume performance of their obligations as soon as it is safe and practical to do so.

22. Contact & Dispute Resolution Clause

22.1 Raising Concerns or Complaints
If you have any concerns, complaints, or wish to raise a dispute regarding the services provided by Orbit Familia Studios Ltd, you are encouraged to contact us on our portal.

We are committed to resolving issues promptly and professionally and will acknowledge all written complaints within 5 working days of receipt.

22.2 Informal Resolution Process
We aim to resolve all concerns amicably and efficiently. Upon receiving a complaint or dispute, Orbit Familia Studios Ltd. will:

  • Communicate with the client to gather relevant information,

  • Aim to provide a resolution within 14 working days, unless otherwise agreed.

22.3 Mediation Before Legal Action
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations. If resolution cannot be reached through informal discussion, both parties agree to consider independent mediation or alternative dispute resolution (ADR) as a first step.

22.4 Jurisdiction
This agreement is governed by the laws of England and Wales, Scotland, and any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, Scotland.

23. Governing Law

These Terms and Conditions, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed under the laws of England, Wales, and Scotland.

Both Orbit Familia Studios Ltd. and the client agree that any legal proceedings arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England, Wales, or Scotland, depending on the location of the service provided or as otherwise mutually agreed.
